Terms of Service
These terms are the agreement between your business and Kentora Inc. for using Kentora Cockpit. Please read them: by creating an account you agree to them.
1. Who we are and who these terms apply to
Kentora Cockpit (“Kentora”, “the Service”) is provided by Kentora Inc., [registered address] (“Kentora”, “we”, “us”). These terms apply to the business that creates an account (“you”, “the Customer”) and to every person you invite. If you accept these terms on behalf of a business, you confirm you have authority to bind it.
2. The Service
Kentora gives your business a cockpit for its numbers and AI agents that work over WhatsApp. You can connect an accounting system or upload your records, confirm how your data should be read, and subscribe to agents. Kentora reads the systems you connect; it does not write back to them unless a feature says so and you turn it on.
Kentora is not an accounting system. It does not keep a ledger, file tax returns or issue tax invoices, and its numbers are not financial, tax or legal advice. You remain responsible for your books and for decisions you make.
3. Your account
- Give accurate information, keep your password private, and turn on two-step sign-in. Owners must use two-step sign-in once a business has more than one member.
- You are responsible for what happens under your account and for the people you invite and the roles you give them.
- Tell us straight away at [security contact email] if you suspect unauthorised access.
4. Your data
Your business data stays yours. Each business has its own database. You give us permission to host, copy and process it only to run the Service for you, as described in the Privacy Policy and the Data Processing Addendum, which form part of these terms. You can download everything at any time. You confirm you have the right to give us the data you connect, including information about your customers and suppliers.
5. AI features
Agents and the Assistant use AI models. AI can be wrong. Agents start in preview, so you approve what they send before anything goes to a customer; when you switch an agent to live, you remain responsible for the messages it sends in your name within the rules you set. Check important figures against your own records.
6. WhatsApp
When you connect your own WhatsApp number you also accept the WhatsApp Business terms and policies of Meta. You must only message people who agreed to hear from you, honour opt-outs immediately, and follow our Acceptable Use Policy. Meta charges for some WhatsApp messages; on your own number those charges are billed to you by Meta.
7. Plans, trials and payment
- Kentora Core is free. Paid agents are monthly subscriptions in your local currency, with a free trial where offered. Prices are on our pricing page.
- AI usage is billed separately from prepaid AI credit, with a monthly cap you control. Unused credit does not expire while your account is open and is not refundable except where the law requires.
- Subscriptions renew monthly until you cancel. Cancelling stops the next renewal; you keep access until the end of the period you paid for.
- Prices may change with at least 30 days’ notice. Taxes are added where they apply.
8. Acceptable use
You agree to the Acceptable Use Policy. We may suspend features or accounts that break it, put others at risk or break the law, and will tell you why unless the law or safety prevents it.
9. Our property
Kentora, its software and its content belong to Kentora Inc. and its licensors. We give you a non-exclusive, non-transferable right to use the Service during your subscription. Do not copy, resell, reverse engineer or misuse it. Feedback you give us we may use freely.
10. Availability and changes
We work to keep Kentora available and secure but do not promise it will be uninterrupted or error free. We may improve or change features; if a change materially reduces what you pay for, we will tell you in advance and you may cancel.
11. Ending your account
You can close your business at any time in Settings → Data & privacy. Your data stays read-only for 60 days so you can download it, then its database, files and keys are deleted permanently. We may end or suspend the Service for serious or repeated breaches of these terms, or if fees remain unpaid after notice.
12. Warranties and liability
To the extent the law allows, the Service is provided “as is” and we disclaim implied warranties. Neither party is liable for indirect or consequential loss, lost profits or lost data that could have been avoided by using the export features. Our total liability in any 12 months is limited to the fees you paid us in that period, or USD 100 if greater. Nothing here limits liability that cannot be limited by law, including rights under consumer laws such as the Australian Consumer Law.
13. Governing law and disputes
These terms are governed by [governing law], and disputes go to the courts of [venue], unless the law where your business is established requires otherwise. We will try to resolve any issue informally first: write to [legal contact email].
14. Changes to these terms
We will give at least 30 days’ notice of material changes by email and in the app. If you keep using Kentora after a change takes effect, the new terms apply; if you do not agree, you can close your account.
